Official Rules — SovEarn Gold Mine Draw Sweepstakes

Section 1

Sponsor

The Sponsor of the SovEarn "Gold Mine Draw" Sweepstakes (the "Sweepstakes") is SovEarn Digital Holdings LLC, a Delaware Limited Liability Company, registered and operating in Florida, with principal place of business at [ADDRESS, MIAMI, FLORIDA] ("Sponsor" or "SovEarn").

The Sweepstakes is administered by SovEarn Digital Holdings LLC. Questions and correspondence should be directed to contact@sovearn.io or to the address in Section 16.

Section 2

Promotion Period

The Sweepstakes begins at 12:00:01 AM Eastern Time ("ET") on [LAUNCH DATE, JUNE 2026] (the "Start Date") and ends at 11:59:59 PM ET on [DATE 30 DAYS AFTER LAUNCH] (the "Entry Deadline"). The winner selection draw will occur on approximately June 23, 2026 (the "Draw Date") at 8:00 PM UTC / 4:00 PM ET.

Sponsor's computer is the official timekeeping device for this Sweepstakes.

Minimum Raise Threshold The Draw Date is contingent on the Minimum Raise Threshold being met. The draw will not execute unless total paid entry revenue equals or exceeds 150% of the aggregate prize pool value. If the threshold is not met by the Entry Deadline, the Sweepstakes period will be extended by 14-day increments until the threshold is met. All entrants will be notified of any extension via email and at sovearn.io.

Section 3

Eligibility

The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age at the time of entry, subject to the following exclusions:

Excluded States: This Sweepstakes is void in California (see Section 14) and void wherever prohibited by applicable law. [COUNSEL: Confirm complete void-where-prohibited state list.]
Excluded Persons: Employees, officers, directors, agents, and representatives of SovEarn Digital Holdings LLC, their parent companies, subsidiaries, affiliates, prize suppliers, legal advisors, and their immediate family members and household members are not eligible to enter or win.
KYC Verification Required: All entrants must complete identity verification through Sponsor's KYC provider (Sumsub) before any entry is confirmed and before any SVE promotional benefit or prize can be claimed. OFAC-sanctioned individuals will be disqualified.
One Account Per Person: Only one (1) account per individual is permitted. Multiple accounts will result in disqualification of all associated entries.
Natural Persons Only: Corporate, trust, or entity entries are not permitted.

Section 4

How to Enter

4.1 — Paid Entry Method

During the Promotion Period, eligible entrants may visit sovearn.io/raffle and purchase Sweepstakes entries at $1.00 USD per entry. Payment may be made via credit card, debit card, or approved cryptocurrency (XRP or USDC at fair market value at time of transaction). There is no maximum number of entries per entrant. Each paid entry constitutes one (1) entry into the prize draw.

In addition to the prize draw entry, paid entrants receive: (a) SovEarn ecosystem access and community membership for the duration of the Promotion Period; (b) eligibility to receive the SVE Promotional Benefit described in Section 8 if the entrant does not win a prize. A purchase will not increase your odds of winning.

4.2 — Free Alternative Method of Entry (AMOE) — Required by Law — No Purchase Necessary

No purchase is necessary to enter this Sweepstakes. The Free Alternative Method of Entry provides equal odds of winning all prizes. Two free entry methods are available:

Online Free Entry Form: Visit sovearn.io/free-entry and complete the online entry form with your full legal name, mailing address, email address, and date of birth. One (1) free entry per form submission.
Mail-In Entry: Hand-print your full legal name, complete mailing address, email address, and date of birth on a 3" × 5" index card. Mail in a hand-addressed envelope (no mechanical reproductions) to: SovEarn Gold Mine Draw Sweepstakes, [MAILING ADDRESS, FLORIDA]. One (1) entry per outer envelope. Entries must be received by [ENTRY DEADLINE]. Postage is the entrant's responsibility.

IMPORTANT: Free AMOE entries carry equal odds to all paid entries. Free AMOE entrants are not eligible to receive the SVE Promotional Benefit described in Section 8. Free AMOE entrants who win a prize are entitled to receive that prize in full.

4.3 — Play-to-Earn Game Entry Method

Eligible entrants may earn Sweepstakes entries by accumulating points through SovEarn's ad-supported ecosystem games at sovearn.io/gold-prospect and sovearn.io/sovfarm. Games are free to play. No purchase is required. Points may be redeemed for Sweepstakes entries at the rate of 10,000 points = 1 entry as disclosed within the game interface. Play-to-earn entrants receive the same SVE Promotional Benefit eligibility as paid entrants.

Section 5

Prizes

5.1 — Prize Tier Structure

The following prizes will be awarded subject to the Minimum Raise Threshold being met. All prize values are approximate retail values ("ARV") based on gold spot price of approximately $3,300 per troy ounce at the date of these Rules. Final ARV will be determined by gold spot price at time of prize fulfillment.

Prize Pool Scaling If total paid ticket revenue is less than $300,000, prize quantities will be adjusted proportionally to maintain the 30% prize allocation. Updated prize quantities will be posted at sovearn.io no later than 48 hours before the Draw Date. No prize substitution, cash equivalent, or transfer permitted except at Sponsor's sole discretion.

5.2 — Physical Gold Prize Fulfillment

Physical gold coin prizes will be sourced from verified precious metals suppliers and processed at SovEarn's partner refinery facility. All gold coins will be certified for weight and purity. Prizes will be delivered to verified winners within sixty (60) days of winner verification, via insured carrier with tracking. Winners are responsible for all applicable taxes on prizes received. Prizes at or above $2,000 USD will be reported on IRS Form 1099-MISC.

Section 6

Winner Selection & Draw Mechanism

6.1 — Provably Fair Draw Method

Winners will be selected by a random drawing from all eligible entries received by the Entry Deadline. The random draw uses the XRP Ledger (XRPL) validated ledger hash as the source of randomness. This mechanism is provably fair and independently verifiable by any member of the public on the XRPL public ledger at livenet.xrpl.org.

All eligible entries are assigned sequential entry numbers beginning with 1 on the Draw Date.
The XRPL validated ledger hash at a predetermined ledger index — announced publicly no less than 24 hours before the draw — is converted to a large integer.
This integer is divided by the total number of eligible entries; the remainder is the winning entry number for the Grand Prize.
The process repeats with subsequent ledger hashes for each remaining prize tier, excluding already-winning entries.
The complete draw record — ledger index, hash value, total entries, and winning entry numbers — is published at sovearn.io/draw-results within 24 hours of the draw and remains permanently verifiable on the XRPL public ledger.

6.2 — Minimum Raise Threshold Guard

The draw will not execute if total paid entry revenue does not equal or exceed 150% of the aggregate prize pool value at the time of the scheduled draw. This threshold is encoded in Sponsor's draw software and cannot be manually overridden. If the threshold is not met, entrants will be notified by email and the Sweepstakes will be extended as described in Section 2.

6.3 — Revenue Allocation

Section 7

Winner Notification & Verification

Potential winners will be notified by email within five (5) business days of the draw. Sponsor will make at least three (3) attempts to contact each potential winner over a period of ten (10) days.

7.2 — Verification Requirements

To claim a prize, potential winners must:

Complete KYC identity verification through Sumsub if not already completed at time of entry
Complete and return an Affidavit of Eligibility and Liability/Publicity Release within fourteen (14) days of notification
Complete IRS Form W-9 for prizes valued at $2,000 or more
Provide a valid mailing address within the eligible territory for prize delivery
Confirm they are the registered account holder and meet all eligibility requirements

Failure to respond within fourteen (14) days of notification, failure to complete verification, or failure to meet any eligibility requirement will result in disqualification and an alternate winner will be selected from remaining eligible entries.

Section 8

SVE Token Promotional Benefit

Important Legal Notice The SVE Promotional Benefit described in this section is a non-cash promotional benefit, not a prize. It has no guaranteed monetary value. Its receipt does not constitute consideration for any investment. SVE tokens are utility tokens that provide access to the SovEarn ecosystem. No return on SVE value is promised, guaranteed, or implied by Sponsor.

8.1 — Eligibility

All paid entrants (including play-to-earn entrants per Section 4.3) who do not win a prize will receive an allocation of SVE tokens as a promotional benefit ("SVE Promotional Benefit"). Free AMOE entrants are not eligible for the SVE Promotional Benefit.

8.2 — Allocation Amount

Each eligible non-winning paid entrant will receive a random weighted allocation of SVE tokens. The base allocation is 1,000 SVE tokens, subject to ±20% random variance. The following multipliers may apply:

Early Entry Multiplier (1.5×): Entrants whose paid entries are confirmed among the first 10% of total paid entries received
KYC Verified Multiplier (1.1×): Entrants who complete full KYC verification before the Entry Deadline
Multipliers are cumulative where applicable — maximum early KYC allocation: 1,650 SVE

8.3 — Claim Process

Eligible non-winning paid entrants will receive email notification within five (5) business days of the draw. To claim, entrants must have completed KYC, establish an XRP Ledger wallet with a trust line for SVE (instructions provided), and claim their allocation at sovearn.io within ninety (90) days of the draw date. Unclaimed benefits after the 90-day window are returned to the SovEarn ecosystem reserve.

8.4 — SVE Token Characteristics

SVE tokens are utility tokens on the XRP Ledger providing access to SovEarn ecosystem features
SVE tokens are not redeemable for cash from Sponsor
SVE tokens may become tradeable on third-party cryptocurrency exchanges in the future. Sponsor makes no representation regarding if, when, or at what value such trading may occur
Recipient is responsible for any taxes on SVE tokens received. Sponsor will issue a 1099-MISC for SVE Promotional Benefits with a fair market value of $600 or more [COUNSEL: confirm threshold and valuation methodology]

Section 9

Odds of Winning

The odds of winning a prize depend on the total number of eligible entries received. A purchase does not improve your odds of winning. Based on a target of 300,000 total entries, approximate odds are as follows:

Actual odds depend on total number of eligible entries received. Live entry count is displayed at sovearn.io/raffle during the Promotion Period.

Section 10

Taxes

All federal, state, and local taxes on prizes are the sole responsibility of the winner. Sponsor will report prize values as required by applicable law. Winners of prizes valued at $2,000 or more will be required to provide a valid Social Security Number and complete IRS Form W-9 before prize delivery. Sponsor reserves the right to withhold applicable taxes from prize value where required by law.

Recipients of SVE Promotional Benefits with a fair market value of $600 or more will receive IRS Form 1099-MISC. Recipients are responsible for reporting and paying all applicable taxes on SVE tokens received.

Section 11

Privacy & Data

Personal information collected in connection with this Sweepstakes will be used for administration of the Sweepstakes, winner notification, prize fulfillment, identity verification, and as otherwise described in Sponsor's Privacy Policy at sovearn.io/privacy. Information will not be sold to third parties.

Identity verification is performed by Sumsub, a third-party KYC provider. Use of Sumsub services is subject to Sumsub's privacy policy. Sponsor performs OFAC sanctions screening on all entrants. Entries from individuals on OFAC sanctions lists will be disqualified.

Section 12

General Conditions

12.1 — Right to Cancel or Modify

Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Sweepstakes if any fraud, technical failures, or any other factor impairs the integrity or proper functioning of the Sweepstakes. If the Sweepstakes is cancelled, all paid entry fees will be refunded in full within thirty (30) days.

12.2 — Fraud and Abuse

Sponsor reserves the right to disqualify any individual who tampers with the entry process, acts in a disruptive manner, or violates these Official Rules. The use of automated entry programs, bots, scripts, or any other automated means to enter the Sweepstakes is prohibited and will result in disqualification.

12.3 — Limitation of Liability

By entering, entrants agree that Sponsor and its Released Parties will have no liability for any injuries, losses, or damages of any kind resulting from acceptance, possession, misuse, or use of any prize or participation in this Sweepstakes. In no event will Released Parties be responsible for SVE token value fluctuation, blockchain network unavailability, third-party exchange listing decisions, or gold price fluctuation between these Rules and prize delivery.

12.4 — Dispute Resolution

EXCEPT WHERE PROHIBITED, AS A CONDITION OF PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES THAT ANY AND ALL DISPUTES ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO CLASS ACTION, AND EXCLUSIVELY BY BINDING ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION IN MIAMI, FLORIDA. JUDGMENT UPON SUCH ARBITRATION AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION.

12.5 — Governing Law

This Sweepstakes and these Official Rules shall be governed by and interpreted under the laws of the State of Florida, without regard to conflict-of-laws provisions.

Section 13

Winner List (published post-draw)

The names and general locations of prize winners will be available at sovearn.io/winners within sixty (60) days of the Draw Date and will remain posted for a minimum of ninety (90) days. To obtain a printed copy of the winners list, send a self-addressed, stamped envelope to: SovEarn Winners List, [ADDRESS]. Requests must be received within 90 days of the Draw Date.

Section 14

Void Where Prohibited

This Sweepstakes is VOID IN CALIFORNIA effective January 1, 2026, and void in all other states and territories where prohibited or restricted by applicable law.

State List — Pending Counsel Confirmation The complete void-where-prohibited state list will be confirmed by qualified sweepstakes counsel before the Promotion Period opens. Research indicates legislative activity in Maine, Tennessee, Oklahoma, Iowa, Maryland, Minnesota, and Illinois. This list will be updated accordingly.

Residents of states where this Sweepstakes is void may use the Free AMOE entry method (sovearn.io/free-entry) to request a determination of eligibility, but no prize will be awarded to residents of void jurisdictions.

Section 15

State Registration & Bonding

New York This Sweepstakes has an aggregate prize pool exceeding $5,000. New York law requires registration and bonding with the New York State Attorney General's office before the promotion opens to New York residents. Sponsor will either complete New York registration before launch or exclude New York residents at launch pending registration completion. [COUNSEL: Handle NY registration filing.]

Florida Florida may require bonding for sweepstakes with prizes exceeding $5,000 in aggregate. Sponsor is headquartered in Florida and this Sweepstakes is primarily operated from Florida.
